1. Acceptance of Terms

Welcome to our property monitoring application (the "App"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TGovern Global ("Company", "we", "us", or "our").

By creating an account, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the App.

2. Eligibility

You must meet the following requirements to use the App:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the App under applicable laws
  • Provide accurate and complete registration information

By using the App, you represent and warrant that you meet these eligibility requirements.

3. Service Description

The App provides property monitoring services using satellite imagery technology. Key features include:

  • Adding and managing property locations using GPS coordinates or map selection
  • Receiving periodic satellite images of your properties
  • Viewing historical satellite imagery based on your subscription tier
  • Comparing images over time
  • Receiving notifications when new images are available

Service Limitations: The App provides satellite imagery obtained from third-party providers. Image availability, quality, and frequency depend on:

  • Weather conditions and cloud coverage
  • Satellite availability and orbital patterns
  • Your subscription tier
  • Third-party provider service levels

4. Account Registration and Security

4.1 Account Creation

To use the App, you must create an account by providing:

  • Valid email address
  • Secure password
  • Name and contact information
  • Country of residence

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Using a strong, unique password

4.3 Account Information

You agree to:

  • Provide accurate, current, and complete information
  • Update your information promptly if it changes
  • Not impersonate any person or entity
  • Not create multiple accounts for fraudulent purposes

5. Subscriptions and Payment

5.1 Subscription Tiers

The App offers multiple subscription tiers with varying features:

  • Free Trial: Limited-time access with one property and one image
  • Basic Plan: Monthly satellite imagery updates
  • Standard Plan: Bi-weekly imagery updates with enhanced features
  • Premium Plan: Weekly imagery updates with all features

Subscription details, including pricing and features, are available in the App and may vary by region.

5.2 Billing and Payment

By subscribing to a paid plan, you agree that:

  • Subscriptions are billed on a recurring basis (monthly or annually)
  • Charges are non-refundable except as required by law or stated in Section 5.6
  • Payment will be charged to your selected payment method
  • You authorize us to charge your payment method automatically for renewal
  • Prices are subject to change with 30 days' notice

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate.

5.4 Cancellation

You may cancel your subscription at any time through the App settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the paid period.

5.5 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method up to 3 times
  • You will receive email notifications about failed payments
  • Your subscription may be suspended or downgraded if payment is not received
  • Property monitoring will be paused until payment is resolved

5.6 Refund Policy

We offer a 7-day money-back guarantee for new subscriptions:

  • Full refund available if you cancel within 7 days of first purchase
  • No refunds for renewal charges or subscriptions beyond 7 days
  • Refunds are processed to the original payment method within 10 business days
  • Abuse of refund policy may result in account termination

6. Property Data and Usage Rights

6.1 Your Property Data

You retain ownership of the property information you provide (property names, coordinates, descriptions). By adding property data, you grant us a license to:

  • Use property coordinates to request satellite imagery from third-party providers
  • Store and process property information to provide the Service
  • Display satellite images within the App for your use

6.2 Satellite Imagery Rights

Satellite images provided through the App are licensed from third-party providers. You agree that:

  • Images are for personal, non-commercial use only
  • You may not redistribute, resell, or commercially exploit the images
  • You may download images for personal records with appropriate watermarks
  • Commercial use requires a separate license agreement

6.3 Property Ownership Verification

You represent and warrant that:

  • You have the legal right to monitor properties you add to the App
  • You own, lease, or have authorization to monitor the specified properties
  • You will not use the App to monitor properties without proper authorization
  • You will not use the App for unlawful surveillance or invasion of privacy

7. Prohibited Uses

You agree NOT to use the App for any of the following purposes:

  • Monitoring properties you do not own or have authorization to monitor
  • Stalking, harassment, or invasion of privacy
  • Any illegal activity or violation of applicable laws
  • Circumventing security features or access controls
  • Reverse engineering, decompiling, or extracting source code
  • Automated scraping, data mining, or bulk downloads
  • Interfering with or disrupting the App's functionality
  • Uploading malicious code, viruses, or harmful content
  • Impersonating others or misrepresenting your identity
  • Reselling or sublicensing access to the App

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Service Availability and Modifications

8.1 Service Availability

We strive to provide reliable service but do not guarantee:

  • Uninterrupted or error-free operation
  • Availability of satellite images on specific dates
  • Specific image quality or resolution (subject to weather and satellite availability)
  • Compatibility with all devices or operating systems

8.2 Maintenance and Downtime

We may temporarily suspend the App for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or security updates
  • Third-party service interruptions

8.3 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any feature of the App
  • Update subscription tiers and pricing (with 30 days' notice)
  • Change service providers or technology platforms
  • Remove or limit features for specific users if necessary

9. Intellectual Property Rights

9.1 Our Intellectual Property

The App, including all software, design, text, graphics, logos, and functionality, is owned by TGovern Global and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works
  • Remove copyright or proprietary notices
  • Use our trademarks without written permission

9.2 User Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us a perpetual, royalty-free license to use, modify, and incorporate such feedback into the App without compensation or attribution.

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of satellite imagery
  • Prevention of property encroachment or unauthorized activity
  • Specific monitoring frequency or image quality

Important: The App is an informational tool only. It does not replace physical property inspections, legal surveys, or professional security services. We are not responsible for property damage, encroachment, or theft.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TGOVERN GLOBAL SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Property damage or loss resulting from reliance on the App
  • Damages arising from third-party service interruptions (satellite providers, payment processors)

Maximum Liability: Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

10.3 Indemnification

You agree to indemnify, defend, and hold harmless TGovern Global, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the App
  • Your violation of any rights of third parties
  • Your unauthorized monitoring of properties

11. Account Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Using the "Delete Account" option in App settings
  • Contacting our support team

Upon termination, you will lose access to all property data and satellite imagery. Downloaded images may be retained for personal records.

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent activity or payment disputes
  • Use the App for illegal purposes
  • Abuse refund policies or subscription terms

11.3 Effects of Termination

Upon termination:

  • Your access to the App will be revoked immediately
  • Prepaid subscription fees are non-refundable (except as required by law)
  • Your property data will be deleted within 30 days
  • Certain legal obligations survive termination (payment obligations, warranties, limitations of liability)

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by:

  • For users in India: Laws of India, excluding conflict of law principles
  • For users in the United States: Laws of the State of Delaware, USA

12.2 Dispute Resolution

For India: Any disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996. Arbitration proceedings shall be conducted in English and seated in Mumbai, India.

For United States: Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules. Arbitration proceedings shall be seated in Delaware, USA.

12.3 Exceptions

Either party may seek injunctive relief in courts for:

  • Intellectual property violations
  • Confidentiality breaches
  • Urgent security concerns

12.4 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and TGovern Global regarding use of the App.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor entity or in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, wars, pandemics, government actions, or third-party service outages.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will:

  • Notify you via email at least 30 days before changes take effect
  • Display an in-app notification
  • Update the "Last Updated" date at the top of this page

Your continued use of the App after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and may cancel your account.
